We dispatch for you, so you don't have too!!!

WHEREAS, the Dispatcher is a third-party logistics coordinator offering dispatch services for motor carriers to locate and secure freight on their behalf; and

WHEREAS, the Carrier is duly licensed and authorized by the FMCSA to transport property, and desires to contract with the Dispatcher for such services;

NOW, THEREFORE, in consideration of the mutual promises and covenants set forth herein, the parties agree as follows:

 

1. Services Provided

The Dispatcher agrees to provide dispatch services including, but not limited to:

• Finding freight that meets Carrier’s preferences;

• Communicating with brokers and shippers;

• Completing necessary paperwork to secure loads;

• Sending rate confirmations to the Carrier;

• Assisting with any necessary documents for delivery.

2. Compensation

The Carrier agrees to pay the Dispatcher 10% of the gross amount of each load successfully booked and delivered through the Dispatcher's services.

Payment shall be due no later than 24–48 hours after Carrier receives payment for each load, unless otherwise agreed in writing.

3. Term and Termination

This Agreement shall remain in effect until terminated by either party with 7 days' written notice.

4. Non-Exclusive Agreement

This is a non-exclusive agreement. The Carrier retains the right to accept or decline loads and may work with other dispatchers or brokers.

5. Carrier Responsibilities

Carrier is responsible for:

  • Maintaining all necessary licenses, insurance, and operating authority;

  • Operating in compliance with FMCSA regulations;

  • Providing accurate and timely documentation for dispatch and payment;

  • Communicating any changes in availability or preferences promptly.

6. Independent Contractor

Both parties acknowledge and agree that the Dispatcher is acting as an independent contractor, not as an employee or agent of the Carrier.

7. Liability Disclaimer

The Dispatcher is not liable for the actions of brokers, shippers, or delays caused by third parties. The Carrier accepts full responsibility for the operation of its equipment and for all liabilities incurred while transporting freight.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [Your State].

9. Entire Agreement

This document constitutes the entire agreement between the parties and supersedes any prior agreements, oral or written.

By signing below, the carrier agrees to all terms and conditions outlined in this agreement. Proof of Delivery (POD) must be submitted within 24 hours of delivery for payment processing.
